1. General.

1.1
This Agreement provides you with the terms and conditions governing the use of the products and/or services of SPLfreight. The purpose of SPLfreight is to provide unregistered and registered users, "Clients, members and visitors," with information, products and/or services related to airfreight (air logistics) on the Internet. At its sole discretion and in response to economic or other changes, SPLfreight may add or delete features of its products and/or services at any time. By registering with SPLfreight as a Client or member, you are in agreement to use SPLfreight's products and/or services in a manner consistent with all applicable laws and regulations, and in accordance with the terms and conditions discussed below. Furthermore this Agreement governs your use of all SPLfreight Web Services on this web site and its associated services (other not specified related SPLfreight Services), including interactive area, forum discussion areas (the "Interactive Areas") and Web-ring community domain names and (the "Internal Sites") Web pages, which are owned and operated by SPLfreight and its subsidiaries, affiliates and related companies ("Aircargo Area Schiphol").

1.2 SPLfreight reserves the right, in its discretion, to change or modify all or any part of this Agreement at any time, effective immediately upon notice published on the SPLfreight Web Service. Your use of the SPLfreight Web Services constitutes your binding acceptance of these terms and conditions, including any changes or modifications made by SPLfreight as permitted above. If at any time the terms and conditions of this Agreement are no longer acceptable to you, you should immediately cease use of all the SPLfreight Web Services, the Interactive Areas, Web-ring community and other not specified related SPLfreight Services.

1.3 All information that is provided to SPLfreight by a Client and/or member is held in strict confidence. SPLfreight does reserve the right to distribute collective demographic information provided by Clients and/or member, but will not release the name or personal information about a Client and/or member without the permission of the Client and/or member.

2. Use of Content.

2.1 You acknowledge that the SPLfreight Web Service contains information, software, photographs, audio and video clips, graphics, forms, links and other material that are protected by copyright, trademark or other proprietary rights of SPLfreight or third parties, including but not limited to product names, logos, designs, titles, and words or phrases which may be registered in certain jurisdictions (collectively, the "Content"). You agree to comply with any additional copyright notices, information, or restrictions contained in any Content available on or accessed through the SPLfreight Web Service. Users of the SPLfreight Web Service may use the Content only for their personal, non-commercial use. Users of the SPLfreight Web Service wanting to use the content for commercial use must obtain prior express written permission of SPLfreight.

2.2 You may not modify, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, or in any way exploit any of the content, in whole or in part, except as otherwise expressly permitted in this Agreement. Content consisting of downloadable software may not be reverse-engineered unless specifically authorised by the owner of the software’s patent and or copyright. Subject to the provisions of this Agreement, you may post on the SPLfreight Web Service any content owned by you (such as your original statements), content for which you have received express permission from the owner, and content in the public domain. You assume all right and responsibility for determining whether any content is in the public domain. You grant to SPLfreight the right to edit, copy, publish, distribute, translate and otherwise use in any medium and for any purpose any content that you place on the SPLfreight Web Service without compensation to you. You represent and warrant that you are authorised to grant all rights set forth in the preceding sentence.

2.3 You may not download content on this web site that is indicated to be for sale except under the terms of the sale. Such content is the protected and copyrightable property of SPLfreight. "Free" content may be downloaded for your personal use or non-commercial distribution consistent with the terms defined in this Agreement. When using both purchased and "free" content, you will maintain and include all copyright and other notices contained in such content. Except as expressly permitted by the copyright laws, no copying, storage, redistribution or publication of any content is permitted without the express permission of SPLfreight or the owners of such content or their authorised persons if other than SPLfreight.


2.3 Additional
Terms and conditions of Web-ring community domain name and Web Pages.
A Web-ring community (the "Internal Sites") domain name or Web page is available to any company in airfreight logistics, 1) provides SPLfreight with an accurate and legitimate company and electronic mail address, and 2) registers with all the required information. During the time of this promotion, each Client is allowed to have only one Web-ring community domain name or Web page and the privileges associated with that Web-ring community domain name or Web page. SPLfreight does not discriminate on the basis of age, gender, or ethnic background.

2.4 Additional Guidelines of Web-ring community domain names and Web Pages.

SPLfreight provides a paid service for a Web-ring community (the "Internal Sites") domain name and Web page, and the associated storage space in a dedicated Web-ring community area, as a service to Clients. This is a place for you, as a Client, to exchange views, ideas, commercial activities and services of your company. However, in order to keep with the standards of SPLfreight, the following additional terms and conditions have been set up for the Web-ring community domain name and Web page service as guidelines to follow when placing content on the specified pages.

A. SPLfreight is not responsible for the content of any Web page. The Client is responsible for the views expressed on each page; it is not the responsibility of SPLfreight. SPLfreight reserves the right to review these Web pages before they appear and, if deemed inappropriate, not post the said Web page on the (“SPLfreight Web Service”) site. SPLfreight also reserves the right to remove any Web page from the (“SPLfreight Web Service”) site at any time that it comes to attention that the content of the said Web page is inappropriate.

B. While SPLfreight provides this “PAID” service (Web-community domain name and Web page), it does not guarantee-implied or expressed-the reliability of the pages. Thus, SPLfreight is not responsible for any damage caused due to the loss of access to, or the deletion or alteration of the involved Web page. Each Client is responsible for monitoring his/her page, as well as creating backup copies of the page and/or his content.

Some possible infringements on a Web page that may cause deletion of the said Web page, include, but are not limited to:

i. Illegal or unethical business practices or services.
ii. Exploited images of children under 18 years of age.
iii. Material that is grossly offensive to the intended audience of SPLfreight, including clear expressions of bigotry, racism, or hatred.
iv. The promotion of illegal activity.
v. Material that defames, abuses, or threatens others.
vi. Material inconsistent with the values of the intended audience of SPLfreight.
vii. The use of the Web page as storage for remote loading.
viii. Pornographic material.

In the case that any of these appear, SPLfreight reserves the right to remove the offending page (s).

Also, Clients are not permitted to use any copyrighted material without the express permission of the original author or the owner. Listed below are additional copyright infringements that are not permitted on the site. They include, but are not limited to:

i. Copyrighted software that has been "cracked" - meaning any software with which the copyright protection has been removed.
ii. Software serial numbers that could be used to illegally validate or register the software.
iii. Tools that could be used for no other purpose than "cracking" software. (This does not include tools with legitimate uses for software developers, software programmers, system administrators, etc.).

When SPLfreight becomes aware of copyright infringing material within the Web-community domain names area and Web pages, either in the course of daily business activities or through a third party who alerts SPLfreight of the specific location of the alleged presence of such materials, SPLfreight will:

i. Contact the Client responsible for the page (s) and alert him/her to the alleged copyright infringement. The Client in question will be requested by SPLfreight to respond within five (5) days as to why the alleged infringement is not actually infringing to the copyright. SPLfreight will also alert the Client in question that if he/she does not respond, SPLfreight reserves the right to delete the complete page.
ii. If the Client in question fails to respond within the five (5) days, SPLfreight will make a decision whether or not to remove the page. If the Client responds to the claim and asserts that the material on the page (s) is not an infringement, SPLfreight will make a decision as to whether or not to remove the page (s) (this is in the instance that SPLfreight discovered the infringement). In the case that the third party is making the claim of infringement, SPLfreight will forward the Client's response to the third party making the claim.

If in its sole discretion SPLfreight concludes that one of its Client's Web pages contains an egregious copyright violation, SPLfreight reserves the right to delete the offending Web page at any time.  

3. Rules of Conduct. You shall not post on the SPLfreight Web Service any content which (a) is libellous, defamatory, obscene, pornographic, abusive, harassing or threatening; (b) contains viruses or other contaminating or destructive features; (c) violates the rights of others, such as content which infringes any copyright, trademark, patent, trade secret or violates any right of privacy or publicity; or (d) otherwise violates any applicable law or reputation. You may not post on the SPLfreight Web Service any links to any external Internet sites that are obscene or pornographic. You shall not use the SPLfreight Web Service for any commercial purpose not expressly approved by SPLfreight, nor shall you distribute any advertising or solicitation of funds or goods and services or solicit users to join competitive online services.

4. Managing Content. SPLfreight does not and cannot review the content posted by users on the SPLfreight Web Service and is not responsible for such content. However, SPLfreight reserves the right to delete, move or edit any content (including content posted in any Interactive Area, part of the Web-ring community and/or the auto feeder service) that it may determine, in its sole discretion, violates or may violate this Agreement or is otherwise unacceptable. You shall remain solely responsible for all content posted by you. SPLfreight shall have the right but not the obligation, to correct any errors or omissions in any content, as it may determine in its sole discretion.

5. No Endorsement.

5.1 SPLfreight does not represent or endorse the accuracy or reliability of any content posted on any Interactive Area, Web-ring community and/or auto feeder service and you acknowledge that any reliance upon such content shall be at your sole risk. Any content placed on any Interactive Area, Web-ring community or auto feeder service by users are the views of the user posting the statement, and do not represent the views of SPLfreight or its advertisers or sponsors.


5.2 The SPLfreight Web Service may contain links to sites on the Internet, which are owned and operated by third parties (the "External Sites"). You acknowledge that SPLfreight is not responsible for the availability of, or the content located on or through any External Site. You should contact the site administrator or Webmaster for those External Sites if you have any concerns regarding such links or the content located on such External Sites.

6. Indemnity. You agree to indemnify, defend and hold SPLfreight and its affiliates, and their respective officers, directors, owners, staff, designer, agents, information providers and licensors (collectively, the " SPLfreight Parties") harmless from and against any and all claims, liability, losses, costs and expenses (including attorneys’ fees) incurred by any SPLfreight Party in connection with any use or alleged use of the service under your user name by any person, whether or not authorised by you. SPLfreight reserves the right, at your expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with SPLfreight’s defence of such claim.

7. Termination of Service. SPLfreight reserves the right, in its sole discretion, to restrict, suspend or terminate your access to all or any part of the SPLfreight Web Service, including the Interactive Areas and Web-ring community, at any time for any reason without prior notice or liability. SPLfreight may change, suspend or discontinue all or any aspect of the SPLfreight Web Service at any time, including the availability of any feature, database, or Content (including the Interactive Areas and Web-ring community), without prior notice or liability.

 

8. Payment of banners, Web-ring community domain names, Web pages and all other not specified services.

8.1 Methods of Payments.
We accept US Dollars, Japanese Yen and Euros to pay for all our services. To place a banner, register a Web-ring community domain name or using one of our other services using US Dollars, you may elect to pay by bank transfer or check (personal or cashier). To place a banner, register a Web-ring community domain name or using one of our other services using Japanese Yen, you may pay by bank transfer. To place a banner, register a Web-ring community domain name or using one of our other services using Euros, you may elect to pay by bank transfer, direct debit or post-giro

8.2 Billing

Some or all of the following fees and charges may be incurred by the Client following the period of 30 days at no charge:
Renewing fees for placing banners: Following the period of 30 days at no charge, the Client is responsible for paying the yearly fee which was agreed according to the then-current billing terms. Payment for the appropriate service will be made by
bank transfer or check (personal or cashier), direct debit or post-giro on the first day of agreed period. All fees are non-refundable. Yearly fees not paid on billing date are subject to a $25.00 Service fee.

Returned check fee: Any time a client's check or automatic bank withdrawal is returned unpaid by the client's bank, for any reason, there will be a $25.00 fee assessed. The $25.00 will be added to the check, which will be redrafted. After a check or automatic withdrawal is returned unpaid three times, and the client does not contact us to make other payment arrangements, his or her account and services will be terminated.

8.3 Payment Confirmation
SPLfreight will not place requested banners, activate requested Web-ring community domain names, requested Web pages and/or deliver any other not specified requested services until received confirmation of full payment. Until confirmation of payment within the applicable payment period of 14 days, SPLfreight will keep the requested banner location, Web-ring community domain name, Web page, and/or delivery of any other not specified requested services in reserve to prevent registration or use by others. If we do not receive payment in full by the applicable deadline of 30 days, your order will automatically be cancelled.
All rates may be subject to change without notice.

9. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY.

9.1 NEITHER SPLFREIGHT NOR ANY PROVIDER OF THIRD PARTY CONTENT OR THEIR RESPECTIVE AGENTS WARRANTS THAT THE SPLFREIGHT WEB SERVICE WILL BE UNINTERRUPTED OR ERROR FREE; NOR DOES SPLFREIGHT, ANY THIRD PARTY CONTENT PROVIDER, OR THEIR RESPECTIVE AGENTS MAKE ANY WARRANTY AS TO THE RESULTS TO BE OBTAINED FROM USE OF THE SPLFREIGHT WEB SERVICE OR THE CONTENT. THE SPLFREIGHT WEB SERVICE AND THE CONTENT ARE DISTRIBUTED ON AN "AS IS, AS AVAILABLE" BASIS. NEITHER SPLFREIGHT, THIRD PARTY CONTENT PROVIDERS, NOR THEIR RESPECTIVE AGENTS MAKE ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SPLFREIGHT WEB SERVICE, ANY CONTENT OR ANY PRODUCTS OR SERVICES SOLD THROUGH THE SPLFREIGHT WEB SERVICE. YOU EXPRESSLY AGREE THAT THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SERVICE AND THE ACCURACY OR COMPLETENESS OF THE CONTENT IS ASSUMED SOLELY BY YOU.
